Terms and Conditions of Sale

Important: The axoneconnect.fr website is reserved exclusively for professionals (resellers, wholesalers, distributors). Prices displayed are shown excluding taxes (ex-VAT). Applicable VAT will be added upon order confirmation.

Article 1 – Purpose

These General Terms and Conditions of Sale (hereinafter “T&Cs”) govern the contractual relationship between Axone Connect (hereinafter “the Seller”) and any professional buyer (hereinafter “the Customer”) placing an order through the axoneconnect.fr website.

The Customer declares to be acting within the scope of their professional activity and acknowledges that they are not entitled to the protective provisions of consumer law.

Article 2 – Acceptance of T&Cs

Any order placed on the axoneconnect.fr website implies the Customer’s unconditional acceptance of these T&Cs. These T&Cs take precedence over any other document from the Customer, including their own general purchasing conditions.

Axone Connect reserves the right to modify these T&Cs at any time. The applicable T&Cs are those in force at the date of the order.

Article 3 – Orders

Orders are placed directly on the axoneconnect.fr website. The Customer is responsible for ensuring the accuracy of the information provided when placing an order.

The order is confirmed by sending a confirmation email to the address provided by the Customer. Axone Connect reserves the right to refuse any order for legitimate reasons (out of stock, order anomaly, ongoing dispute, etc.).

Article 4 – Prices

Prices are shown in euros, excluding taxes (ex-VAT). Applicable VAT at the current rate will be added when finalising the order.

Shipping costs are shown separately and added to the ex-VAT order amount.

Axone Connect reserves the right to change its prices at any time. The prices applied are those in force at the time of order confirmation.

Article 5 – Payment Terms

The following payment methods are accepted:

  • Bank transfer: bank details are communicated upon order validation. The order is processed upon receipt of the transfer.
  • SEPA direct debit: upon presentation of a duly signed SEPA mandate. Available for customers who have set up a customer account.
  • Credit card (via Stripe): secure payment by Visa, Mastercard or American Express. A processing fee of 1.5% of the order’s VAT-inclusive amount applies for this payment method.
  • Payment within 30 days on invoice: available subject to conditions for professional customers with a validated customer account and an authorised credit limit. Axone Connect reserves the right to accept or refuse this payment method.

In case of late payment, late payment penalties will be applied at the legal interest rate plus 10 percentage points, as well as a fixed recovery cost indemnity of €40 in accordance with applicable commercial law.

Article 6 – Delivery

Products are delivered to the address indicated by the Customer at the time of the order. Delivery times are given as an indication only. Axone Connect cannot be held responsible for delivery delays due to external causes (strikes, bad weather, carrier delays, etc.).

The Customer must check the condition of the goods upon delivery. Any anomaly (damaged package, missing product) must be reported immediately to the carrier and confirmed in writing to Axone Connect within 48 hours of delivery.

Risk transfer occurs when goods are handed over to the carrier (ex-works, Incoterm EXW unless otherwise agreed).

Article 7 – Returns and Claims

Any return request must be pre-authorised by Axone Connect, obtained by email at info@axoneconnect.fr within 14 days of delivery.

Returned products must be in their original condition, in their original unopened packaging, accompanied by all accessories and documents. Return shipping costs are borne by the Customer unless the product is defective or there is an error by Axone Connect.

Note: The 14-day right of withdrawal does not apply to contracts concluded between professionals within the scope of their main business activity.

Article 8 – Warranties

Products marketed by Axone Connect benefit from the manufacturer’s warranty as defined by the manufacturers (Plasma Cloud, Alta Labs, and other distributed brands).

The legal warranty of conformity and the legal warranty against hidden defects apply under the conditions provided by law.

Excluded from the warranty: damage resulting from abnormal use or use not in accordance with specifications, improper installation, negligence or unauthorised modification of the product.

Article 9 – Liability

Axone Connect’s liability can only be engaged for direct damages resulting from proven fault. Under no circumstances shall Axone Connect be held liable for indirect damages such as loss of business, loss of profit, commercial damage or damage to reputation.

In all cases, Axone Connect’s liability is limited to the amount of the order concerned.

Article 10 – Force Majeure

Axone Connect shall not be held liable for failure to fulfil its contractual obligations in the event of a force majeure event, including but not limited to natural disasters, pandemics, strikes, government restrictions, and component shortages.

Article 11 – Retention of Title

Axone Connect retains ownership of the goods until full payment of the price by the Customer (retention of title clause). In the event of collective insolvency proceedings, the Customer undertakes to immediately notify Axone Connect of the existence of any unpaid goods in their possession.

Article 12 – Applicable Law and Jurisdiction

These T&Cs are governed by French law. In the event of a dispute relating to the formation, interpretation or performance of these T&Cs, and failing amicable resolution, the parties grant exclusive jurisdiction to the competent courts within the jurisdiction of Axone Connect’s registered office.

Article 13 – Personal Data

Personal data collected in the context of orders is processed in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR).
